1. Purpose
These Terms of Use (“ToU”) govern access to and use of the ImmoSafe platform (“the Service”), accessible via the web application and, eventually, mobile. ImmoSafe is a digital service for securing and managing real estate assets, which also includes rental management and a marketplace for properties to rent. It is intended for individuals, owners, tenants and professionals residing in Togo and, more broadly, in the UEMOA area (West African Economic and Monetary Union).
2. Acceptance of the ToU
Registration for the Service implies full and unreserved acceptance of these ToU and of the Privacy Policy. Acceptance is materialised by the dedicated checkbox when creating the account. The acceptance date is kept in ImmoSafe's databases as evidence.
3. Description of the Service
ImmoSafe brings together three complementary services, available within the limits of the plan subscribed to by the User:
3.1 Asset vault
- Register and centralise your real estate assets;
- Geolocate your assets (land, plots, buildings) and import plans;
- Archive documents (title deed, ACD, CPF, contracts, photos, videos…);
- Designate trusted persons with read-only access;
- Register contacts to be notified in the event of the owner's death.
3.2 Rental management
- Create rental units and register tenants;
- Draw up lease contracts and generate rent receipts;
- Track rents, receive due-date reminders and collect payments via Mobile Money;
- Entrust the management of a property to ImmoSafe through a management mandate.
3.3 Rental marketplace
- Browse listings of properties to rent published and verified by the ImmoSafe agency;
- Request and schedule a viewing, subject to viewing fees;
- Be put in touch with the landlord within a regulated contractual framework.
Listings are published exclusively by ImmoSafe: the owner does not publish themselves, and renting out a property requires an active management mandate.
4. Registration and user account
Registration is open to any natural person of legal age (at least 18) with legal capacity and to any duly registered legal entity. The User undertakes to provide accurate, complete and up-to-date information. Identity theft is punishable under Togolese law no. 2018-026 of 7 December 2018 on cybersecurity and the fight against cybercrime.
The account is strictly personal. The User is responsible for the confidentiality of their password and for any action carried out from their account. Strong two-factor authentication (2FA via OTP) is required at each login.
5. Plans and pricing
Asset management is offered through four annual subscription plans, billed in CFA Francs (XOF). A subscription covers 365 days; there is no monthly billing cycle.
- Discovery: free — 12 months of access to the Premium features on 1 asset. Reactivation is billed at 25,000 FCFA in the second year, then 18,000 FCFA per year;
- Premium: 27,000 FCFA per asset in the first year, then 18,000 FCFA per asset per year on renewal — an unlimited number of assets, each billed individually and carrying its own due date;
- Advance: a flat rate of 89,000 FCFA in the first year, whatever the number of assets, then 23,000 FCFA per asset per year on renewal;
- Enterprise: on quote — intended for banks, notaries and institutions (administrator accounts, data import / export, dedicated services). No public price list applies.
The first year covers the cost of securing the asset (survey, geolocation, cadastral mapping, digitisation); renewal only covers keeping it secure and therefore costs less. Every new owner User is automatically enrolled in the Discovery plan on sign-up.
Renewal bills a minimum of one year, plus one additional year for each annual period started beyond the due date. On expiry, the advanced features are locked until payment, but no data is deleted. The User may unsubscribe at any time: any arrears are then cleared, and a later return is billed at the renewal price rather than the first-year price.
Rental management and marketplace services give rise to remuneration separate from the subscription:
- a management commission deducted from rents collected via ImmoSafe — its rate is 8% by default and may be negotiated in the mandate or contract;
- viewing fees, the amount of which depends on the type of property, paid by the prospective tenant when requesting a viewing and fully refunded if the landlord cancels.
An asset entrusted to ImmoSafe under an active management mandate is excluded from per-asset billing and from the subscription quota: it is remunerated through the management commission or through transaction fees. The same asset is never billed twice.
Prices are shown inclusive of all taxes: the price displayed is the amount debited, with no tax or fee added on top. Payments are made without leaving the application, by bank card or Mobile Money (Orange Money, MTN MoMo, Free Money, Wave, etc.) via our secure payment providers. A receipt is issued and emailed on activation.
6. User obligations
The User undertakes in particular not to:
- Register assets they neither own nor are mandated to manage;
- Upload falsified or fraudulent documents;
- Use the Service for unlawful purposes, in particular money laundering or terrorist financing;
- Undermine the technical integrity of the Service (intrusion, alteration, overload, security bypass);
- Share their credentials or transfer their access to a third party outside the trusted-person feature.
7. Intellectual property
The Service, its source code, interfaces, brand and editorial content are the exclusive property of the publisher of ImmoSafe. Any reproduction, representation or redistribution is prohibited without prior written authorisation. The data and documents uploaded by the User remain their property; the User grants ImmoSafe a non-exclusive licence to host, process and display them strictly as necessary to operate the Service.
8. Liability
ImmoSafe is bound by an obligation of means. The Service is provided “as is”. ImmoSafe does not guarantee the legal accuracy of uploaded documents nor the User's status as owner; these matters are the User's sole responsibility. Except in cases of wilful misconduct or gross negligence, ImmoSafe's liability is limited to the amounts paid by the User over the last 12 months.
9. Suspension and termination
ImmoSafe may suspend or terminate the User's account in the event of a breach of these ToU, after notification by email left unanswered for 7 days. The User may terminate their account at any time from their personal space; the data is then kept for 30 days and then deleted, except where legally required to be retained.
10. Service availability
ImmoSafe aims for 99% availability on a monthly average, excluding scheduled maintenance and force majeure events (network outages, prolonged power cuts, hosting provider failures, etc.). In the event of a major incident, the User is informed by email or via the login page.
11. Changes to the ToU
ImmoSafe reserves the right to modify these ToU. Any substantial change is notified to the User by email with 30 days' notice. Continued use of the Service after this notice constitutes acceptance. Otherwise, the User may terminate their account free of charge.
12. Applicable law and competent jurisdiction
These ToU are governed by Togolese law as well as, where applicable, by the OHADA uniform acts and UEMOA / ECOWAS community law. Failing amicable resolution within 60 days of the first complaint, any dispute will be brought before the competent courts of Lomé, Togo.
